1. Who we are and who you are
PhDeeds LLC ("PhDeeds") prepares deeds and related documents ordered through this site. "You" are the person or company placing the order (the "Requestor"). If you order on behalf of a company account, you confirm you are authorized to bind that company, and the company is responsible for every order placed by any of its users.
2. What we do and do not do
PhDeeds prepares documents from the information and records you give us. PhDeeds does not examine title, does not issue a title opinion or warranty, does not record or file documents, does not give legal advice to you or to anyone who signs the document, and does not represent the grantor, grantee, or any other party. It is understood and agreed that no attorney-client relationship is created, formed or implied unless explicitly set forth in a written agreement.
3. Your information
You are responsible for the accuracy and completeness of everything you submit, including names, marital status, vesting, legal descriptions, consideration, and uploaded documents. We rely on it without independent verification. Automated tools may be used to read your uploads; they assist our staff and do not replace your responsibility for what you submit.
4. Trusts, estates, and entities
If a signer is a trustee, executor, personal representative, or acts for an entity, PhDeeds has not reviewed the trust, will, letters, operating agreement, or any other authority document unless we confirm otherwise in writing, and makes no determination that the signer is authorized. Those signers should consult an attorney in the state where the property is located before signing.
5. Taxes and exemptions
Where a document shows a transfer or recordation tax amount or claims an exemption, it does so from information you provide. You are responsible for confirming that any tax amount or exemption is correct before the document is recorded.
6. Recording
You are responsible for executing, notarizing, and recording the document and for paying recording fees and taxes. We format documents for recording, but we do not guarantee that any recorder will accept them. If a document is rejected because of our error, we will correct it at no charge. That is your sole remedy for a rejection.
7. Pricing and payment
The price for each order is shown before you submit it. Card payments are charged when you submit and carry a 3% convenience fee. Bank (ACH) payments carry no fee. Accounts approved for billing terms are invoiced and payment is due within the number of days stated on the invoice. You agree to pay all costs of collection, including reasonable attorneys' fees, whether or not suit is filed.
8. Turnaround
Turnaround times are estimates. The expedited fee moves your order ahead of standard orders; it does not guarantee a delivery date, and no fee is refunded because of a delay.
9. Corrections, changes, cancellation, refunds
We will correct any error that is ours at no charge. Changes you request after delivery because the facts changed or were submitted incorrectly will be made at no charge for 30 days after delivery. You may cancel an order for a full refund before review begins. Once a document has been delivered, fees are earned and not refundable.
10. Limits on liability
The service is provided as is. You understand and agree that our total liability for any order is limited to the fees you paid for that order. We are not liable for closing delays, lost transactions, recording costs, tax consequences, or any indirect or consequential loss.
11. Your account and your team
Keep your credentials confidential. Users you invite to your company account can see the company's deeds, place orders, and use the company's payment terms. You are responsible for their actions.
12. Communications
By providing a phone number or email address you agree that PhDeeds may contact you about your orders and account by email, phone call, text message, and in-app notification. Message and data rates may apply. You can stop texts by replying STOP and stop marketing email using the link in any message. Order and account notices continue while you have an open order or balance.
13. Electronic documents
You agree to receive documents and notices electronically and confirm you can open PDF files. Your acceptance of these terms is recorded with the date and time.
14. Privacy
Our Privacy Policy explains what we collect and who processes it for us, and is part of these terms.
15. Governing law and venue
These terms are governed by Georgia law. Any dispute will be brought in the state or federal courts sitting in Cherokee County, Georgia. You consent to that jurisdiction and venue.
16. Changes
We may update these terms. If we do, you will be asked to accept the new version once before placing another order. Orders already placed stay under the version you accepted.
17. Cancellation of acceptance
You may cancel your acceptance of these terms and conditions upon thirty (30) days written notice.
